Mentor Capital was established as a pure financing vehicle to efficiently raise
approximately $140 Million in steps for operating entities like those in the Cancer Immunotherapy
Index.
Mentor Capital started with less than 1/2% share dilution and has stepped warrants at
$0.65, $1, $3, & $7 per share. The shares are callable when the shares are $1 per share in the
money, and must be exercised within 30 - 90 days as management best determines or they will be redeemed and passed
to designees to exercise. In this fashion it is highly certain that all warrant proceeds, now structured to
equal $140 Million, will be eventually received by the Company.
The funds are being invested into stock of Cancer Immunotherapy Index Fund companies often
to support FDA trial costs. As time goes on, Mentor Capital stands ready to provide liquidity for portfolio
company shareholders, provide public shares and cash for cancer related acquisitions, and to continue to fund
portfolio company corporate growth.
Because these CII Fund companies represent substantial business with significant public
market interest, Mentor Capital immediately began to prepare for Registration and move off of the Pink Sheets to
allow for more robust trading in the stock. Mentor is near the end of that path, with the 2nd year financial audit
now complete and self registration of a form 10 with EDGAR in preparation.
